What do we do in Due Diligence and M&A?

Our service covers the full spectrum of environmental due diligence for both sellers and buyers, ensuring that all relevant aspects are clearly identified and assessed.

In environmental due diligence we focus on identifying findings that may lead to the need for CapEx at the time of transition, as well as identifying future risks in relation to aspects such as soil contamination, presence of asbestos-containing materials, etc.

In social due diligence we identify significant stakeholders, analyze their perception of the project, their level of influence, and assess how these factors may affect the viability, acceptance and reputational risks of the business.

  • Environmental Due Diligence Audits, Phase I
    Preliminary inspection, documentary review, physical survey of the land or asset, initial environmental risk assessment. From undeveloped land to industrial complexes or portfolios with hundreds of sites, for the selling or buying party.

Due Diligence & MA – Frequently Asked Questions

It is a process of assessing risks that can generate costs, in order to minimize them, or the assumption of civil or even criminal liabilities. Identifying these risks allows the necessary actions to be taken to eliminate or minimize them, which translates into savings in the future or the avoidance of legal proceedings.

This is done based on a review of information provided by the owner or operator of the audited site, a search for other information from public sources, and visits to the assets, during which a direct reconnaissance of the site is made and interviews are held with the owner or operator of each site.

There is a documentary review, usually through what is usually called a VDR (“virtual data room”). After that, requests for additional documentation are sent, a site visit is made, and parts of unavailable information are identified.

When all the information is available (or it is found that no more can be obtained), a report is prepared detailing the findings and providing possible solutions or improvements, with a cost estimate for their implementation.

Based on the direct experience of our auditors, or by consulting specialists in very specific areas. We always try to give the best possible estimate of costs, so that clients can make decisions based on data adjusted to reality.

ASTM E-1527, which is focused on the identification of findings related to soil contamination, is often used. However, EHS Techniques has its own questionnaires and checklists adapted to different activities (from greenfield sites to complex industries, including real estate activities, logistics warehouses, etc.).
